Introduction

Welcome to Legways! This page outlines our Terms and Conditions and Privacy Policy, which govern your use of our website, software, and services. By accessing or using Legways, you agree to these terms and policies. Please review them carefully.

Use of Services

  • You must be at least 18 years old or have parental/guardian consent to use our services.
  • You are responsible for providing accurate and current information to Legways.
  • You agree to comply with all applicable laws and regulations while using our services.
  • Your use of our services signifies acceptance of our Privacy Policy and data collection practices.

Intellectual Property

All content—including software, designs, logos, and documentation—is the property of Legways or its licensors. You may not reproduce, distribute, or modify these materials without our written permission.

Liability and Disclaimer

  • Legways is not responsible for any direct, indirect, incidental, or consequential damages arising from your use of our services.
  • Our services are provided "as is," without any warranties, expressed or implied, including warranties of merchantability or fitness for a particular purpose.
  • You use our services at your own risk, and we expressly disclaim liability for any loss or damage.

Cancellation & Penalty Policy

Cancellation Grace Period

A 10‑day grace period for unpaid services begins on the due date of the outstanding payment. An email notification will be sent to you at or shortly after the due date, informing you of the overdue status and the commencement of this grace period.

Daily Penalty

A penalty of $15 per day will be imposed for each day that the website remains online while the account is unpaid. There is no fixed cap on the total penalty. However, if you raise a dispute in good faith regarding these charges, penalty accrual will be suspended pending a resolution.

Service Termination Process

Should non-payment and accrued penalties persist for 30 consecutive days, your service will be terminated. Prior to termination, you will receive a formal notice with a minimum of 10 days’ advance notice, allowing you to settle your account or secure your data.

Data & Security Clause

Unnecessary Purposes

“Unnecessary purposes” refers to any use of our services that falls outside the agreed-upon scope of your business activities. This includes illegal activities, unauthorized commercial exploitation, or any misuse of our resources.

Unsecure Data Points

“Unsecure data points” are those that lack adequate protection using industry-standard security measures. This includes unencrypted data, exposed APIs lacking proper authentication or encryption, and any access points that might expose sensitive information.

Client Responsibilities

You are responsible for maintaining the security of your account. In the event your website is compromised by third-party actions due to negligence (for example, using weak passwords or failing to implement recommended security measures), you will be solely liable for any resulting damages. Legways disclaims all liability arising from such incidents.

Additional Services

Unless specified otherwise in individual service agreements, the cancellation, penalty, data, and security clauses outlined herein apply uniformly across all services provided by Legways. This includes websites, mobile applications, hosting, and maintenance. Any exceptions must be documented in a separate written amendment.

Force Majeure

Legways shall not be liable for any delays or failures in performance resulting from events beyond its reasonable control, including, but not limited to, acts of God, natural disasters, government actions, network outages, or other unforeseen events. In the event of a force majeure, we will make reasonable efforts to resume normal service as quickly as possible.

Indemnification

You agree to indemnify, defend, and hold harmless Legways, its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, or expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of our services, any breach of these Terms, or any violation of applicable laws.

Limitation of Liability

To the maximum extent permitted by law, Legways’ total liability for any claims arising out of or relating to these Terms or the use of our services shall not exceed the total amount paid by you for the services in question. In no event shall we be liable for any indirect, incidental, consequential, or punitive damages, even if advised of the possibility of such damages.

Severability and No Waiver

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The failure of Legways to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Beta Features and Service Changes

Legways may offer beta features or experimental services from time to time. These features are provided "as is" and may be modified, suspended, or discontinued without prior notice. Your use of any beta features is entirely at your own risk, and Legways assumes no liability for any issues arising from their use.

Data Backup and Recovery

While Legways implements industry-standard data backup and recovery procedures, you acknowledge that we cannot guarantee the preservation of your data. It is your responsibility to maintain independent backups of your data. In the event of data loss, Legways will use reasonable efforts to restore service, but shall not be held liable for any irrecoverable data loss.

Feedback and Suggestions

Any feedback, comments, or suggestions you provide regarding our services become the property of Legways. By submitting feedback, you grant Legways a non-exclusive, irrevocable, royalty-free license to use and incorporate such feedback into our services without any obligation or compensation to you.

Dispute Resolution

If you dispute any penalty charges or termination decisions, both parties agree to engage in a structured dispute resolution process, including mandatory mediation prior to initiating any legal proceedings. The details of this process will be outlined in our Governing Law section.

Payment & Refunds

Payment Obligations

Payments must be made in accordance with the agreed schedule. Any failure to pay may trigger the cancellation, penalty, and termination processes as outlined above.

Refunds and Prepaid Services

For prepaid services (e.g., annual plans), if you cancel mid-term, refunds will be issued on a prorated basis after deducting any applicable penalties or outstanding charges. This policy is designed to ensure clarity regarding early termination and refund calculations.

Governing Law

These Terms and Conditions and Privacy Policy are governed by the laws of North Carolina. Any disputes arising from these terms will be resolved in the courts located in Rowan County.
